MASSACHUSETTS CONFERENCE OF THE UNITED CHURCH OF CHRIST
BYLAWS
Article I PURPOSE AND DEFINITIONS
1 . The purpose of the Massachusetts Conference of the United Church of Christ as stated in its charter (1799) is "diffusing the knowledge of the Go^el of Jesus Christ ... and in concert with other ecclesiastical bodies for the general increase of Christian union and spiritual efficiency and the advancement of Christ's Kingdom on earth."
2. The local church is the basic unit of the life and organization of the United Church of Christ. It is autonomous and has the power of self-determination in all matters.
3 . An Association is composed of all local churches in a geographical section of the Conference, of all ordained ministers holding standing therein, of all commissioned ministers of that Association, and of those licensed ministers who have been granted voting membership in that Association.
An Association may include Congregational Christian churches which are not part of the United Church of Christ, yet are in voluntary fellowship with and are recognized by the Association.
4. The name of this corporation is the Massachusetts Conference of the United Church of Christ, herein referred to as the "Conference." The Conference is that body of the United Church of Christ which is composed of all local churches in a geographical area, all ordained ministers holding standing in its Associations, all commissioned ministers in its Associations, and those licensed ministers who have been granted voting membership in its Associations.
It joins with other Conferences and agencies of the United Church of Christ for the advancement of God's work in this world.
5 . An Area is established by the Board of Directors and is composed of an Association or Associations informally grouped together for the convenience of the Conference.
Article II DENOMINATIONAL BASIS
Following Congregational principles, this Conference shall under no circumstances exercise authority over churches or individuals or interfere with the government or discipline of the churches. It shall advise and counsel the churches when requested but it is recognized that each church has the power of self- determination in all matters.
Article in DOCTRINAL BASIS
This Conference declares its steadfast allegiance to the faith which our forebears confessed, which, from age to age, has found its e}q)ression in the historic creeds of the Church Universal and of this Communion.
Article IV CONFERENCE MEETINGS
1. Conference Meeting Membership
A. When this Conference meets, its voting membership shall consist of the following:
* delegates from each local church, for a term of one year. The number of delegates from each church is determined by the number of its members as of the preceding December 3 1 . Churches with a membership of 300 or less shall have two delegates; 301- to 600-member churches shall have three delegates; 601- to 900-member churches shall have four delegates; 901- to 1200-member churches shall have five delegates; 1201- to 1500-member churches shall have six delegates; 1501- to 1800-member churches shall have seven delegates;
* officers of the Conference;
* members of the Board of Directors;
* members of Conference Committees and Commissions mentioned in the bylaws;
* persons who are ordained and hold standing in an Association of this Conference;
"* persons who are commissioned and licensed ministers who have been granted voting membership in an Association of this Conference.

B. Associate members with the privilege of speaking but without vote shall consist of the following:
* the Moderator of each Association;
* Associate Conference Ministers;
* the President of the Massachusetts Women's Fellowship;
* presidents of mission and aid societies related to the Conference.
C. Honorary members with the privilege of speaking but without vote shall consist of the following:
* delegates from corresponding bodies;
"* persons appointed to ^eak before the Conference;
* persons made honorary members by vote of the Conference.
2. Annual Meeting
The Annual Meeting of the Conference shall be held between April 1 and June 30, as the Board of Directors shall decide. The business to be conducted at the Annual Meeting shall include the election of officers, other members of the Board of Directors and Committees, Commission members and Delegates and Alternates to the General Synod; the presentation of reports; the determination of the annual rate of Fellowship Dues and the proportion to be retained from Our Church's Wider Mission giving of the churches; the adoption of a budget for the next fiscal year; and the transaction of any other business that may properly come before the meeting. Notice of the time, place, and general business of the meeting, including the budget and Treasurer's report, shall be mailed not later than one month prior to the meeting to each church, in sufficient quantity for its voting members, and also mailed to all other members of the Conference.
3. Special Meetings
Special meetings of the Conference may be called by the Board of Directors. Special meetings of the Conference shall be called by the Board upon written request, ^ecifying the purpose of the meeting, from no fewer than one-hundred (100) persons who are voting members of the Conference, as defined, and who shall represent at least fifty (50) churches from the five Areas of the Conference. The meeting so requested shall be held within two months of the receipt of the conqileted petition unless an already scheduled meeting will be held within four months.
No action shall be taken at any special meeting on business not specified in the notice for such meeting. Written notice of the time, place, and purpose of the meeting shall be mailed at least three weeks before the meeting to each church, in sufficient quantity for its voting members, and also mailed to all other voting members.
4. Quorum
The quorum shall consist of two-hundred (200) members, providing that each Association is represented by at least two churches.
5. Voting Procedures
Each Conference member present in person shall be entitled to one vote. Uncontested elections may be by voice vote or other nwans; contested elections shall be by ballot; a plurality of votes shall elect.
6. Annual Meeting Committees
A. The Nominating Committee
(1) Composition — There shall be a nominating committee of the Conference consisting of eighteen (18) members. The membership of the committee shall be representative of the Conference with not less than one-half being lay persons.
(2) Method of Election; Term; Vacancies — The Board of Directors shall present to the Conference at its Annual Meeting nominations for membership to the Nominating Committee. Members of the Nominating Committee shall serve three-year terms, with six members elected by the Conference at each Annual Meeting. Past members of the Nominating Committee shall not be eligible for re-election to the Nominating Committee for a period of one year following their completion of a term. Vacancies in the Nominating Conunittee shall be filled by the Board of Directors until the next Annual Meeting of the Conference.
(3) Selection and Term of Chair — The chair shall be appointed by the President from among the committee members for a term of one year.

(4) Quorum — a majority of the members of the committee must be present in person to constitute a quorum for the transaction of business.
(5) Responsibilities — The conmiittee shall present to the Conference at its Annual Meeting a single slate of nominees for Moderator and Vice-Moderator, members-at-large of the Board of Directors, members of the Annual Meeting Planning Committee and Commissions and General Synod Delegates and Alternates, and shall include nominees to fill vacancies occurring in any of these positions.
Nominees for positions on the Board of Directors, the Commissions, the Annual Meeting Planning Committee, and Delegates and Alternates to General Synod shall be from all Areas of the Conference and of different ages and races. Each group shall be at least 40% of each gender, and at least 50% shall be laypersons.
Nominations may be made from ttie floor at the Annual Meeting, provided the eligibility of the individuals so nominated has been established and is in accordance with these bylaws, and the written consent of such individuals has been secured and submitted to the Nominating Committee at the meeting.
Associations are encouraged to make suggestions of nominees for all positions but most specifically for delegates and alternates for General Synod, who must meet the criteria in the Bylaws of the United Church of Christ.
B. The Annual Meeting Planning Committee
The Annual Meeting Planning Committee shall consist of the Moderator, the Vice Moderator, and fifteen (15) elected members, five of whom shall be elected each year for a term of three years. This committee shall plan the program for each meeting of the Conference.
C. The Business Committee
The Business Committee shall consist of members appointed by the Moderator from the membership of the Board of Directors and of the Annual Meeting Planning Committee. This committee shall prepare the agenda for business sessions, recommend changes during meetings, and in general expedite the business of Conference meetings. The Vice Moderator shall serve as the chair of the committee.
D. The Credentials Committee
At least one week before the opening of a Conference meeting, the Secretary shall appoint members of the Credentials Committee. The Secretary shall serve as chair. The committee shall be responsible for the resolution of issues relating to the eligibility of members of the Conference meetings. Decisions of this conmiittee shall be final and binding for the meeting for which it was formed.
Article V OFFICERS
1. Number and Title
The officers of the Conference shall be the Minister and President, Secretary, Treasurer, Moderator, Vice-Moderator, and such other officers as the Conference may elect.
2. Election, Terms, Vacancies
The officers shall be elected by members of the Conference for a term of one year or until their successors are elected. A vacancy among the officers, other than that of Minister and President, shall be filled by the Board of Directors until the next Annual Meeting or until a successor is elected. No officer, with the exception of the Minister and President, shall serve more than six terms.
In the case of a vacancy in the office of Minister and President, the Board of Directors shall appoint a search committee to nominate a candidate for election at the Annual Meeting. The Board shall appoint an interim Minister and President to serve until a candidate is elected by the Conference. While the interim Minister and President is being selected, the Board will make arrangements for carrying out the duties of this office.

3. Removal
An elected officer may be removed by an afTirmative vote of two-thirds of the total membership of the Board of Directors.
4. Duties
The duties of the officers shall be as follows:
A. The Minister and President shall be the chief corporate and executive officer of the Conference and shall, subject to the direction of the Conference and the Board of Directors, have general charge of its mission and activities. The Minister and President shall be an ex-officio member of the Annual Meeting Planning, Business, and Credentials Committees of the Conference. The Minister and President shall be the representative of the Conference among all the churches and in denominational and ecumenical bodies. The Minister and President shall direct the staff and employ and release all non-appointed employees in accordance with procedures adopted by the Board of Directors.
B. The Secretary shall be chair of the Credentials Committee and shall carry other duties as are usual to this office and shM exercise such other powers and perform such other duties as may be assigned by the Minister and President or the Board of Directors.
C. The Treasurer shall be responsible for seeing that all monies of the Conference are received, held in custody and disbursed as authorized; that accurate accounts of monies received and paid out are kept; and that financial statements and reports are prepared and issued. The Treasurer shall exercise the powers and perform such other duties usually incident to the office of treasurer and shall exercise such other powers and perform such other duties as may be assigned by the Minister and President or Board of Directors. Any Assistant shall perform such duties as may be assigned by the Treasurer or the Minister and President in the absence or incapacity of the Treasurer.
D. The Moderator or, in the absence of the Moderator, the Vice-Moderator, shall preside at all meetings of the Conference. In the absence of both a Moderator and a Vice-Moderator, a member of the Board of Directors shall call the meeting to order and conduct the election of a Moderator Pro Tempore.
Article VI BOARD OF DIRECTORS
1. Responsibilities
The corporate business and affairs of the Conference ^all be under the direction of the Board of Directors. Except as may be otherwise provided in these Bylaws or the Articles of Incorporation, the Board shall have and may exercise all the powers of the Conference between meetings of the Conference, and actions taken shall be reported to the next Annual Meeting.
Relying on the help of God, the Board of Directors:
A. shall have general responsibility for the develc^ment and implementation of the Conference's policy, program, and budget;
B. ^all appoint Associate Conference Ministers and approve the outline of their duties;
C. diall nominate the Minister and President, Secretary, and Treasurer;
D. shall nominate members of the Conference Nominating Committee;
E. shall fill vacancies in any office or committee of the Conference including vacancies in the membership of the Board until the next Annual Meeting of the Conference or until successors are elected;
F. may remove any director or officer of the Conference by a two-thirds affirmative vote of its total membership;
G. may remove any Associate Conference Minister upon the recommendation of the Minister and President.

2. Composition
The Board of Directors shall consist of the officers of the Conference and sixteen (16) members-at- large. The members-at-large shall be nominated so that each Association is represented by at least one director and no Area has fewer than three directors.
3. Election. Term and Vacancies
The members-at-large shall be elected by the Conference for a term of four years, and shall serve for no more than one term without a lapse of one year. The term of office of approximately one-fourth of the members-at-large shall expire at each annual meeting of the Conference. Regardless of the number of consecutive years any person shall have served as a member-at-large, such person shall be eligible to be a member of the Board when serving as an officer. The Board elects its own chair and vice-chair.
4. Meetings
Regular meetings of the Board shall be held at times and places as may be determined by the Board, except that the Board shall meet no fewer than five times each year. Notice of time, place and purposes of the meeting shall be mailed to each Board member not fewer than five days before the meeting.
Special meetings of the Board may be called by the chair. Special meetings of the Board must be called by the chair upon written request of a majority of the Board members. If the chair fails to call such a specially requested meeting, the secretary shall call the same. The purpose of such meetings shall be stated with the request, and no other business ^all be transacted except that for which the meeting has been called. Notice of time, place, and purpose of the meeting shall be given by mail or telephone to each Board member not fewer than three days before the meeting.
5. Quorum
A majority of the members of the Board shall be present in person to constitute a quorum.
6. Board Committees
A. Establishment
The Board of Directors may establish such long-term and short-term committees as it deems necessary.
B. Appointment and Terms of Chairs
The chair of Board Committees shall be appointed by the chair of the Board for a specified period of time or until the work of the committee has been con^leted.
C. Appointment and Term of Members
Committee members shall be appointed by the chair of the Board afler consultation with the chair of the respective committee and subject to the approval of the Board of Directors, for a term of one year.
Article Vn CONFERENCE PROGRAM
1. Program Commissions
A. Composition
There shall be program commissions consisting of six to sixteen members each. The Minister and President shall assign staff to work with each commission. The number, titles and sizes of the commissions shall be established from time to time at a Conference Meeting upon recommendation of the Board of Directors.

B. Election, term, and vacancies
Members of commissions shall be elected by the Conference for a term of three years with one third of the members' terms expiring each year. Members may serve no more than one ftill term without the lapse of one year between terms. Vacancies in commissions shall be filled by the Board of Directors until the next Annual Meeting of the Conference or until successors are elected.
C. Selection and term of chair
Each commission shall elect its chair from among its members. The term shall be one year with re-election possible.
D. Quorum
A majority of the members of the commission shall be present in person to constitute a quorum for the transaction of business.
E. Responsibilities
The program commissions are re^onsible for seeing that basic, broad strategies assigned by the Board of Directors are carried out within guidelines and budget adopted by the Board of Directors and the Annual Meeting.
2. Program Assembly
A. Composition
Members of the Assembly shall include:
• the moderators of each Association and of the Conference;
* thirty members elected or appointed by the Associations; the number allocated to each Association shall be on the basis of church membership;
♦ one member of each program commission;
♦ the Conference Minister and President.
One member of the Board of Directors and all Associate Conference Ministers are members of the assembly ex officio with voice, but without vote.
B. Convener
The Conference Moderator or Vice Moderator shall convene the Assembly and preside.
C. Meetings
The Assembly shall meet at least every third year upon the call of a Conference Moderator.
D. Responsibilities
The Assembly shall consider and rank the program directions of the Conference. A report of the proposed Conference goals and basic strategies diall be given to the Board of Directors which shall use them in overseeing the development and implementation of Conference programs. The Board of Directors shall present to the Aimual Meeting a statement of the goals and basic strategies of the Conference in conjunction with the proposed annual budget.
Article VED TERMS OF OFFICE AND ELIGmiLITY
All terms shall begin at the close of the Annual Meeting. One-half or more of an une}q>ired term shall constitute one full term for the purpose of determining eligibility to serve additional terms.
All officers and members of the Board of Directors, Conference Committees, and Commissions may serve only while a member of a church that has standing in an Association of the Conference.

Any person elected to the Board of Directors or to any Committee or Commissions of the Conference who shall fail to attend three consecutive regular meetings without an e}q>lanation of absence shall be considered to have resigned. Whoever is nominated to the Board of Directors or to any Committee or Commission of the Conference on the basis of church membership in one of the five Areas of the state shall be considered to have resigned if, during the term of office, the person transfers his or her church membership out of that Area.
Article DC FINANCE
1. Budget
At each Annual Meeting, the Conference shall adopt a budget of estimated income and expenditures for the next fiscal year.
Changes to the proposed budget will be considered at an Annual Meeting only if a written proposal outlining the desired changes to the proposed budget and signed by at least five members of the Annual Meeting has been filed with the Treasurer at least two weeks prior to the date of the Annual Meeting. However, changes to the proposed budget may be considered at the Annual Meeting if two-thirds of the delegates present vote to consider such proposal.
2. Retention Rate and Fellowship Dues
The rate of Fellowship Dues and the portion to be retained from Our Church's Wider Mission for the next fiscal year shall be established by vote of the Annual Meeting approving the Conference's budget. The amount of the Fellow^ip Dues and the retention rate so established shall be for an entire year and shall not be changed until the next Annual Meeting of the Conference.
3. Fiscal Year
The calendar year shall be the fiscal year of the Conference.
4. Financial Report
A summary report of the financial operations of the Conference ^all be printed in the Conference Yearbook.
5. Corporate Assets
The Board of Directors ^all manage all of the business affairs of the Conference. However, corporate assets, whether restricted monies or title to real property and whether one transaction or a series of related transactions, involving more than an aggregate of $250,000 shall be disbursed or conveyed only by a vote of the Conference. This limitation shall not conflict with or limit the provisions of gifls, bequests, or other donations to the Conference. However, the Board of Directors may create and manage special funds to receive gifts for special purposes of the Conference.
6. Audits
A certified public accountant shall be retained by the Board of Directors to make an annual examination of the financial accounts of the corporation. A report of all examinations shall be submitted to the Board of Directors.
7. Indemnification
No officer, director, or staff member of the Conference shall be personally liable to the Conference or its members for monetary damages for breach of fiduciary duty as an officer, director, or staff member, provided, however, that this provision shall in no way be construed to eliminate or limit the liability of an officer, director, or staff member (A) for any breach of his or her duty of loyalty to the Conference or its members, (B) for acts or omissions not in good faith or involving intentional misconduct or a knowing violation of law, or (C) for any transaction from which the officer, director, or staff person derived an improper personal benefit.

8. Dissolution
In the event of the dissolution or final liquidation of the Conference, after all liabilities and obligations of the Conference have been paid, satisfied or discharged, or adequate provisions have been made therefor, all remaining property and assets of the Conference shall be distributed to such organization or organizations affiliated with the United Church of Christ as may be designated by the Executive Council of the United Church of Christ.
Article X MASSACHUSETTS WOMEN'S FELLOWSHIP
The Massachusetts Women's Fellowship, United Church of Christ, is an auxiliary organization of the Conference established to undergird the program of the Conference and its churches by (1) encouraging women to grow to full stature as mature Christians; (2) enlisting women in a closer fellowship of Christian love; and (3) encouraging the participation of women in the life and work of the whole church. The Fellowship shall organize itself and set its own rules, providing they are not in conflict with these Bylaws.
Article XI BOARD OF MINISTEIUAL AID

The Boston Seaman's Friend Society shall be the agent of the Conference in the work of promoting the spiritual and temporal welfare of seafarers and shall make an annual report to the Conference. Robert's Rules of Order, in its most recent revision, shall be the parliamentary authority governing the meetings of the Conference, the Board of Directors and committees, subject to the laws of the Commonwealth, the articles of incorporation and these Bylaws.

These Bylaws may be amended by a vote of two-thirds of the members of the Conference present and voting at any meeting of the Conference provided that the proposed amendment shall have been included in the notice of the meeting, and provided the proposed amendment shall have been recommended by the Board of Directors or proposed at a previous Conference meeting.

MINUTES OF THE 196TH ANNUAL MEETING
of the
MASSACHUSETTS CONFERENCE OF THE UNITED CHURCH OF CHRIST
June 9, 10, 11, 1995

The 196th Annual Meeting of the Massachusetts Conference of the United Church of Christ began with worship at 5:00 PM on Friday, June 9, 1995, in Abbey Chapel at Mount Holyoke College. The theme of the meeting was "Moving Into God's Hopeful Future" and a readers' theatre reflected upon the various spiritual roots of new members of a typical local congregation.
The Rev. Ms. Janice Shepherd, Moderator, called the first plenary session to order at 7:30 PM in Chapin Auditorium of Woolley Hall. After greeting and welcoming the delegates, Ms. Shepherd gave an overview of the purposes and goals of Annual Meeting. She welcomed and called attention to the youth event being conducted at Annual Meeting, "Not Just Another Pretty Faith." The Rev. Mr. Kenneth Baily, pastor of the First Congregational Church in South Hadley, welcomed the Annual Meeting to the area.
The Moderator announced the appointment of the Business Committee in accordance with the Bylaws of the Conference: Ms. Martha Aney, the Rev. Ms. Lois Buchiane, Ms. Margery Eramo, Mr. John Glore, Ms. Diane Ranney, and the Rev. Mr. Harold Cooper, Chair. She then introduced the Credentials Committee, consisting of Ms. Joan VanderVHet, chair; the Rev. Mr. Fred Anderson; and Ms. Diane Ranney. She then called upon Ms. VanderVHet who reported for the committee that there were 461 delegates, 249 clergy, 12 ex officii, 15 commissioned and/or licensed ministers, 78 visitors, and 51 others present for a total of 866 registered for the meeting. As there were more than 200 delegates in attendance, the Moderator declared a quorum present. She then announced her appointment of tfie ushers as tellers and reported that they were being coordinated by the Rev. Dr. Donald Simpson and Ms. Elizabeth Simpson.
The Moderator then introduced Mr. Paul Putnam, songleader for the Annual Meeting, who had led gathering singing before the beginning of the plenary. She also introduced Mr. Richard Osterberg, ParliamenUrian; Ms. Joanne Bickford, recorder; Ms. Margery Eramo, timekeeper; and Ms. Marion Butland, interpreter for the hearing impaired.
Ms. Margery Eramo, Co-Chair of the Annual Meeting Planning Committee, presented the proposed Standing Rules. An amendment to broaden the sources from which resolutions might come to AJonual Meeting was proposed. After discussion, the proposed amendment was defeated. It was moved, seconded, and voted that "The 196th Annual Meeting adopts the Standing Rules as printed."
Ms. Diane Ranney, Co-Chair of the Annual Meeting Planning Committee, presented the Proposed Order of Time and Events. It was moved, seconded and voted that "The 196th Annual Meeting adopts the Proposed Order of Time and Events as printed."
The Moderator introduced the Rev. Mr. Bennie E. Whiten, Jr., Conference Minister and President, who presented his proposed list of honorary delegates to the meeting, it was moved, seconded, and voted that "The 196th Annual Meeting designates the following persons as honorary delegates with voice, but not vote: Mr. John Buck, the Rev. Ms. Maria deLourdes Porrata, Ms. Raquelle Rodriguez, the Rev. Mr. Donald Stoner, Mr. Richard Walker, Dr. Ruy Costa, the Rev. Mr. Oscar Aguayo, Ms. Sara Calzadilla, Ms. Ximenia Calzadilla, and Ms. Karina Calzadilla. Mr. Whiten also recognized the Rev. Ms. Diane Kessler, the Rev. Mr. Donald Wells, the Rev. Mr. Robert Bachelder, and the Rev. Mr. Douglas Mitchell as UCC leaders in related institutions who were present at the meeting.
The Moderator called attention to the reports of the Treasurer and the Secretary in the written materials and then called upon the Rev. Mr. Malcolm Bertram, Chair of the Nominating Committee. Mr. Bertram submitted the committee's slate to be placed in nomination and thanked the members and staff of the Nominating Committee.
Two churches have voted to join the Massachusetts Conference of the United Church of Christ and the Moderator recognized and welcomed members and pastors of the First Congregational Church of Chester and the Union Church of Stow. She then called upon Mr. John Glore who introduced reports on the hearings that had been held during the afternoon. Hearing managers summarized the discussions which took place at those meetings concerning the Conference budget, the proposed Conference-wide Capital Campaign, and the proposed Clergy Compensation Guidelines.
Mr. Arthur Stock, Chair of the Board of Directors, was called upon to give his report on the work of the Board over last year. Mr. Stock suggested that the life of the Conference has been in transition for the past few years, with new leadership, financial changes, and new policies. During the past year the Board of

Directors has begun to look forward and become pro-active. Actions have included an Awareness/Education Program for the proposed Conference-wide Capital Campaign, the addressing of suggestions of the Basic Support/Fellowship EKies Study concerning the format of the Annual Meeting, a continuing study of the camping and outdoor ministries programs of the Conference, a study of fund counsel options for the proposed campaign, a review of the work of the Conference Commissions and monitoring the financial affairs of the Conference. Mr. Stock praised Board members for their service. He reported that the Conference offices and staff serve as resources to 440 churches of the Conference. He suggested that the Conference should undertake those things which individual congregations cannot or will not undertake separately and upheld the concept of the Massachusetts Conference of Churches in the United Church of Christ.
The Moderator introduced the Rev. Dr. Loren Mead, author of The Once and Future Church and Transforming Congregations for the Future and the featured speaker at the 196th Annual Meeting. Dr. Mead spoke of the rapid changes taking place in society and the need to discover new ways of undergirding some of our most prized programs. He described two paradigms of the church, the Apostolic Paradigm and the Christendom Paradigm, that had occurred in the past in terms of mission, environment, the character of the faith community, and the comparative roles of laity and clergy. He then described some of the characteristics of a new paradigm which is coming into being now.
The Rev. Mr. Harold Cooper, Vice Moderator, gave several announcements and recessed the meeting at 9:35 PM.

After gathering singing led by Mr. Putnam, the Vice Moderator reconvened the meeting at 8:30 AM and called on Ms. Kristen Danielson. a member of Union Congregational Church in Maynard, who gave the opening prayer. Speakouts were held.
The Moderator called upon Mr. Whiten who gave his report as Minister and President of the Massachusetts Conference. He spoke of his concern for the many changes facing the Conference and the wider United Church of Christ and for the lack of knowledge of many members for the wider church beyond the local congregation. He called upon the Conference and its individual members to be "bridge builders for the future." Churches of the Conference, he suggested, must come together to resource each other in new and different ways while developing greater degrees of trust and respect despite differences. Changes at all levels of the wider church, nationally and ecumenically, cannot help but influence the Massachusetts Conference of churches. Members must be ready to work diligently in order to address the issues before the Conference and to insure that the Conference will move confidently into God's hopeful future.
Mr. Whiten then narrated a slide presentation which introduced the staff of the Conference.
The Moderator called upon Mr. Osterberg who, as Parliamentarian, clarified the ftinction of the Conference's Annual Meeting and the role of the delegates for the assembly . He explained that the meeting acts in the name of the Massachusetts Conference of the United Church of Christ and not on behalf of each individual church. He also explained that a delegate's vote did not in any way bind the delegate's local church to any action. Each delegate may be guided by his or her local congregation, but he or she cannot be "instructed" how to vote.
Mr. Blair Brown, Chair of the Prc^osed Capital Can^aign Committee, was recognized and introduced the Rev. Mr. Robert Curry, Ms. Thelma Lyon, Mr. John Pearson, The Rev. Mr. Kenneth Powell, and Ms. Mary Alice Stahleker. Mr. Whiten joined these members of the committee and the panel presented the history and vision of the proposed Conference-wide Capital Campaign. The presentation included a review of learnings from the Awareness/Education Phase and of the ensuing Proposed Case for Support. Following remarks from each member of the panel, delegates were given opportunity to seek clarifications and answers to specific questions. Mr. Brown announced that further discussion would be held before the Annual Meeting was asked to vote on the proposal at the afternoon plenary session.
The Moderator reintroduced the Rev. Dr. Loren Mead who offered his second presentation, "A Crystal Ball Vision of the Church of the Future." In his talk. Dr. Mead offered five "hunches" about where the church is headed: (1) a church "owned" by its members, not by the clergy; (2) congregations as basic communities rather than interruptions in the lives of their members; (3) a new institutional framework for the church; (4) a church with passion and with inclusiveness; and (5) the church as an apostolic people. In summary. Dr. Mead suggested that the future will see a church that serves the world, not a church that rules the world.
The Rev. Dr. Paul Adkins was introduced by the Moderator. Dr. Adkins spoke of the ongoing Mission Partnership Program between the Massachusetts Conference and the Pentecostal Church of Chile. He then introduced Ms. Raquel Rodrigues of the United Church Board for World Ministries and the Rev. Mr.

Oscar Aguayo and his family, missionaries from the Pentecostal Church of Chile to the Massachusetts Conference for the next year. Pastor Aguayo brought greetings to the Annual Meeting from the Pentecostal Church of Chile and from the three congregations that he serves there.
The Rev. Mr. William Carter, Chair of the Commission for Educational Ministries and Ms. Cynthia Shoemaker, a member of the Association of United Church Educators in Massachusetts presented Educator of the Year Awards to Ms. Karen Sedat from The Congregational Church in Weston and Mr. Clarence Snyder from First Congregational Church in Westnunster.
Mr. Whiten recognized those people who had been ordained within the past year. He then honored those who were celebrating 50 years of ordained ministry in 1994. The Rev. Mr. Wilbur D. Canady, the Rev. Mr. Frederick F. Driftmier, the Rev. Mr. William J. Kitto, and the Rev. Mr. Delwyn R. Rayson were unable to be present. The Rev. Mr. Edwin D. McLane, the Rev. Dr. John P. Robertson, the Rev. Mr. George A. Robinson, and the Rev. Mr. William E. Wimer, ID, were called forward to be recognized.
The Moderator called upon the Rev. Mr. Arthur Kaufman, Moderator of Berkshire Association, who spoke of the recent tornado damage in the Great Barrington area. He then introduced the Rev. Ms. Cara Davis, coordinator of CONSTRUCT, Inc., the organization which is coordinating relief efforts in the area. An opportunity to make contributions to the e^orts was offered at the close of the plenary session.
The Moderator then called upon the Rev. Ms. Barbara Keast who invited delegates to attend afternoon workshops centered around the Annual Meeting theme and evening forums to discuss the changes and challenges facing the local church today and in the future. After announcements, the Vice Moderator declared the Annual Meeting recessed until 3:30 PM.
The afternoon plenary session was called to order by the Vice Moderator. After speakouts, the Moderator called upon Mr. Bertram to report for the Nominating Committee. As there were no ftirther nominations from the floor, it was moved, seconded, and voted that nominations be closed. Election was scheduled for Sunday morning.
Dr. Mead offered his last presentation to the Annual Meeting, offering suggestions about what could be done to ease the transitions necessitated by the changing worid and the changing church. These suggestions included (1) get right with God; (2) get ready to take chances, and even to fail; (3) get new resources now; (4) trust and support colleagues and learn to be family; (5) do not respond to symptoms, respond to people; (6) hold steady; (7) every now and then, check your assumptions; (8) leave the judging to God; and (9) trust God — relax.
After a song break and pitches for the forums and evening activities, the Vice Moderator facilitated a discussion about a local church's options and possible decision making process should a capital campaign be approved by this Annual Meeting. It was reiterated that any vote by a delegate cannot commit that delegate's church in any way. The autonomy of the local church is protected in the United Church of Christ Constitution, the Bylaws of the Massachusetts Conference, and the Standing Rules of the Annual Meeting.
Mr. Brown presented the prc^osal for a Conference-wide Capital Campaign. After debate, it was moved, seconded and voted that

The Moderator introduced Mr. Max Money who brought greetings to the meeting from United Ministries

in Higher Education. He then introduced Ms. Kent Elliot who spoke of the campus ministry being conducted at the University of Massachusetts, Boston, a commuter school with many non-traditional students of varying ages.
After acknowledging all those who had just been elected to Conference positions, the Moderator called upon the Rev. Mr. Erwin Bode, Associate Conference Minister for the Northeast Area and staff to the Commission for Ecumenism. Mr. Bode announced that a delegation from the Massachusetts Conference would be travelling to Germany in the fall as part of an emerging partnership with Evangelical Church of the Union of Germany. Those making this journey will be The Rev. Mr. Charles Ford, The Rev. Mr. John Hughes, the Rev. Ms. Lisa Shoenwetter, and the Rev. Ms. Llewellyn Smith. Four persons from the Penn Southeast Conference will also be going. These delegates will be available to speak to local congregations and other groups after their return. In the fall of 1996 a delegation from the Evangelical Church of the Union of Germany will be visiting the Massachusetts Conference.
Ms. Norma Comins, Chair of the Board's Goal Development and Resource Allocation Committee; Ms. Vilma Thompson, Chair of the Board's Resource Development and Management Committee; Ms. Dawn Hammond, the Conference's Business Manager; and the Rev. Mr. Stephen Gray, Associate Conference Minister for Stewardship and Financial Development, presented the budget proposals for 1996 and background information on income and eiqienses for the Conference. Ms. Comins explained changes in the budget that had been made by the Board of Directors in response to concerns raised with regard to the camping and retreat program budgets. The proposed budget was constructed in view of continuing downward trends in giving to Our Church's Wider Mission Basic Support and included a 2% increase in the Conference's retention rate of Basic Support and a 20 cent increase in Fellowship Dues.

The Haystack Award for Charitable Mission was awarded to The Tuesday Morning Sewing Group of the First Congregational Church of Reading. The Haystack Award for Social Justice was awarded to the Rev. Mr. Charles Navle, pastor of the Crombie Street United Church of Christ.
The Rev. Mr. Donald Stoner, Director of Planned Giving for the United Church of Christ's Commission on Development, addressed the Annual Meeting on the need for a theology of institution, a theology of

Mr. Whiten honored Ms. Norma Comins, Mr. Arthur Stock, and the Rev. Mr. Paul Zeckhausen as retiring members of the Board of Directors. He then introduced those persons who had just been elected to the Board: the Rev. Ms. Lois Buchiane, the Rev. Ms. Rose Ann Olmstead, Mr. Ronald Smith, Ms. Mary Alice Stahleker, Ms. Alice Wilmot, and Ms. Janet Woodman.
The Rev. Mr. Fred Anderson, Chair of the Board's Policy Development and Administration Committee, and Ms. Margery Eramo, Co-Chair of the Annual Meeting Planning Committee offered information on next year's Annual Meeting. As a pilot meeting, the 197th Annual Meeting will incorporate one day of business and two days of workshops, fellowship and nurture. All business of the Conference is to be conducted on Friday. The 197th Aiuiual Meeting will be evaluated before decision is made as to format of future Aimual Meetings. It will be held on June 7-9, 1995, and the Rev. Dr. Marcus Borg will be the featured speaker.
Mr. Cooper, reporting for the Business Committee, announced that there was no more business to come before the Annual Meeting. Appreciation was expressed for all the volunteers that came forward to act as ushers during plenary sessions. Ms. VanderVliet, reporting for the Credentials Committee, gave the final attendance as follows: 558 lay delegates, 254 clergy, 12 ex-officii, 15 commissioned and licensed ministers, 76 visitors, and, 56 others, for a total of 971 persons present at this Annual Meeting. Mr. Whiten recognized Ms. Shepherd for her work as Moderator and introduced the Rev. Mr. Harold Cooper as the new Moderator and Mr. Paul McDaniel as the new Vice Moderator. Ms. Eramo and Ms. Ranney recognized and thanked the many people who helped with the 196th Annual Meeting.
The 196th Annual Meeting of the Massachusetts Conference of the United Church of Christ was adjourned at 11:15 AM for worship. The wor^ip service, in Abbey Chapel, included communion and a sermon by Mr. Whiten.

APPENDIX B 1996 COMPENSATION GUIDELINES
FOR CALLED AND INTERIM CLERGY
(for use with Guidelines for Clergy Compensation booklet from the Conference Office)
The 196th Annual Meeting of the Massachusetta Conference of the United Church of Christ, concerned with the growth of ita churches and the compensation of its ordained leaders, commends the effort of the local churches in endeavoring to reach the goals reconmiended in Guidelines for Clergy Compensation 1995. These are minimum reconmiendations. They apply to all full-time pastors, associates, and assistants.
The work schedules and compensation packages of local pastors should be healthy for the pastor and for the church. That would require a balance of time ^ent in the church's ministry and time spent with family and friends — a balance of work and recreation, a balance exercising the body and the mind, a balance of care of others and care of self.
The 196th Annual Meeting recommends that:
(1) churches pay a minimum entry-level cash salary of $20,917 for a full-time pastor and minimum salaries as listed below in B;*
(2) churches not at the minimum salary work toward the minimum and also at improving C, D, and E below;
(3) churches reimburse fully all professional expenses through an IRS approved accountable reimbursement plan;^
(4) churches already at or above the minimum and also providing for C through F give at least a cost-of- living increase and also consider a merit increase;
(5) the work schedule of local pastors be a maximum average of 40 - 50 hours per week, with no more than three evenings in any given week; in addition, pastors take at least one and one-half days off per week.
A. CONSIDERATIONS FOR DETERMINING CLERGY COMPENSATION
While ministry is a unique profession, requiring special patterns of financial compensation, several overall factors can be considered in determining the level of support for clergy. The total compensation package justly could be comparable to the median income of the parish and peiiiaps be on a par with that of the local high school principal, showing consideration for years of service, special skills and training, and including annual cost-of-living increases. The federal tax structure is unique for clergy, and the compensation package can be designed in such a way as to maximize the pastor's income.^
B. MINIMUM CASH SALARY
The minimum cash salary, not including housing and other expenses, ought to be as follows:

Therefore, if a pastor often years ordination/e^qierience arrives at a congregation with 375 members, she or he should receive a base salary of not less than $27,986 (recognizing regional variations).
Without question, some churches, because of their smaller membership and/or financial constrainta, are not able to provide an adequate condensation package for full-time pastoral service. They are encouraged

to consider creative options, such as part-time, bi-vocational pastors or sharing a pastor with another congregation in the area in order to combine resources to offer adequate compensation.
C. SOCIAL SECURITY ALLOWANCE
The church should provide an amount equal to at least one-half the effective self-employment Social Security tax liability of each clergyperson. This allowance is taxable income, but it will ease the burden of the large Social Security tax.
D.* HOUSING THAT PROVIDES:
(1) a furnishings allowance', all utilities, and an equity development plan for those provided a parsonage; OR
(2) a housing allowance, including furnishings and utilities, for those who own or rent their homes.
E. BENEFITS THAT PROVIDE:
(1) a pension plan, with a church contribution of 14% of salary basis which is (a) at least 130% of cash salary plus any furnishings allowance for those living in a parsonage, OR (b) cash salary plus housing allowance for those with such an allowance;
(2) a family protection plan, including disability insurance, which is an additional 1 % of the base used for annuity;
(3) group life insurance ($50 per year);

F. ALL PROFESSIONAL EXPENSES
The tax law allows the deduction of business expenses on Schedule A onIy,and any stated allowance for these items must be included in income. Most taxpayers no longer itemize since higher deductions are given to everyone. Therefore, it is important that churches reimburse, or pay directly, all costs which the pastor incurs for "doing business" for the church, so that the pastor is not paying income tax for church expense. Included but not limited to:
"* books and professional subscriptions
* professional memberships
* travel expenses and auto allowance (church-owned vehicle or travel reimbursement)
* any other expenses incurred by the pastor and directly attributable to the exercise of ministry
